Marvell, Lumentum tout historic $115B deal to create ‘category leader’ in AI connectivity

Marvell Technology's chairman and CEO, Matt Murphy, has characterized the company's monumental $115 billion acquisition of Lumentum as a "once in a generation" chance to merge two leading firms in the burgeoning AI sector, thereby creating a "category leader." In a recent appearance on "The Claman Countdown" alongside Lumentum CEO Michael Hurlston, Murphy elaborated on the significance of this record-setting merger, asserting that it will solidify Marvell’s role in AI connectivity.

"It's very rare that you can find two companies of the caliber of Lumentum and Marvell that are number one in their respective areas that find a moment in time where you can combine and create a category leader in a new category," Murphy explained to host Liz Claman. He emphasized the importance of AI connectivity, likening its potential impact to that of established categories such as computing, memory, fabrication, and intellectual property licensing.

This statement comes on the heels of Marvell's announcement regarding the acquisition of Lumentum, which marks the largest merger ever between two publicly traded entities. The deal aims to combine the strengths of both companies, which possess complementary expertise in electrical and optical technologies, to meet the connectivity demands of next-generation AI infrastructures.

According to the all-stock agreement, Lumentum shareholders will receive 4.5 shares of Marvell common stock for each share they own, as detailed by Marvell. Murphy expressed his enthusiasm about the merger, stating, "It’s really a historic day for the two companies. We're putting together basically the best-in-class leader in AI connectivity technology for semiconductors with the leader in photonics. And it is something that hasn't been done before."

Marvell specializes in designing AI chips and technologies that facilitate data center operations, while Lumentum focuses on creating lasers and other optical components that enable data transmission between chips and servers. Murphy highlighted that both companies, based in Northern California, share a "shared vision," and he believes their collaboration will yield superior results compared to operating independently.

Notably, Nvidia, a leading player in the AI chip market, has invested in both Lumentum, which has a market capitalization of approximately $76 billion, and Marvell, valued at around $172 billion. Hurlston mentioned that Murphy had discussions about the potential acquisition with Nvidia CEO Jensen Huang early in the negotiation process, adding that Nvidia's response has been "super positive."
